These Membership Terms and Conditions (these “Terms”) govern your membership and access to the Rally Network (defined below), including any Services (defined below) and member benefits offered by Rally to you from time to time, and apply to any of our members who are accepted to the Rally Network (“Rally Member(s)”, “you” and “your”).

Rally Group Limited is a limited company registered in England (company number 16122747) with its registered address at Lawford House, Albert Place, London, United Kingdom, N3 1QA (“Rally”, we”, “us” and “our”).

  1. Who is Rally and what is the Rally Network?
    1. Rally

      Rally is a free private community and network of founders and investors (the “Rally Network”). We organise and host sporting events and activities to enable our members to connect with one another.

    2. Services

      From time to time, we may offer additional services, content, communications, introductions, event invitations, digital or online platforms, and other benefits to Rally Members (together, the "Services"). The scope, availability and content of the Services may change from time to time at our sole discretion.

    3. No professional advice

      Nothing provided by Rally, whether at Rally Events (defined below), through the Services, or otherwise, constitutes legal, financial, investment, tax, regulatory or other professional advice. You should not rely on anything communicated at a Rally Event, through the Rally Network, or by another Rally Member as such advice, and Rally shall not be responsible or liable for any decision made, action taken, or omission on your part in reliance on any such communication.

      You should obtain independent professional advice before making any decision or taking any action of a legal, financial, investment, tax, regulatory or similar nature.

  2. Rally Network membership
    1. Eligibility

      Membership to the Rally Network is open to individuals who are at least 18 years old, and who, at the time of application and throughout their membership, are:

      1. a founder of a business (whether trading or in formation); or
      2. an investor, being (i) a partner, principal, employee or authorised representative of a venture capital firm, private equity firm or family office; or (ii) such other category of investor as we may accept at our sole discretion from time to time.

      You understand that your Rally membership is personal to you. You must not transfer, assign, share or otherwise permit any other person to use your membership or the Services, or access details, Rally Events (defined below) or other member benefits.

    2. How to apply

      To apply to become a Rally Member, you must complete the sign-up process made available by us from time to time (currently via https://rally-crm.replit.app/apply) and provide such information as we may reasonably request from you from time to time. You must ensure that all information you provide to us is accurate, complete and up to date, and you must promptly notify us of any material change to any such information.

    3. Acceptance is at our discretion

      You understand that acceptance of any application for Rally membership is entirely at our discretion. We are not obliged to accept any application, and we are not obliged to give reasons for any decision to refuse an application. Your membership commences only once we have confirmed acceptance to you in writing (including by email).

  3. Fees

    Membership to the Rally Network, including attendance to a Rally Event is currently offered free of charge.

    We reserve the right to introduce fees, paid tiers, ticketed events or other paid elements in the future. Where we do so, we will give you reasonable advance written notice in accordance with these Terms, and any such changes will apply only on a future basis and only where you have agreed to them.

  4. Access to Rally Events and code of conduct
    1. Rally Events

      As a Rally Member, you may be invited to attend sporting events, including other networking events and activities from time to time organised or hosted by us (each, a "Rally Event"). We will typically notify Rally Members of upcoming Events by email, including via the Rally newsletter. You are under no obligation to attend any Rally Event, and attendance is entirely at your discretion. Invitations, capacity, availability and eligibility for any particular Rally Event remains at our discretion, and we may limit or restrict attendance where we consider it appropriate.

      Certain Rally Events may also require separate registration via an event-specific sign-up page (for example, via our third party event platform). Where this is the case, your attendance at the relevant Rally Event is subject to you completing that registration process and receiving confirmation of your place at the Rally Event. You acknowledge that Rally Events are subject to availability, and your place will not be guaranteed unless and until you receive confirmation from us that your space is confirmed.

      Most of our Rally Events are held at third party venues and/or delivered by third party providers (for example, sports clubs, coaches, instructors, or other activity operators) (together "Event Providers"). You acknowledge and agree that:

      1. Event Providers are independent of Rally and are not our agents, employees or subcontractors;
      2. you will be subject to, and must comply with, any terms, rules, waivers, releases, health declarations and safety instructions imposed by the relevant Event Provider or venue; and
      3. we are not responsible for the acts, omissions, standards or conduct of any Event Provider, except to the extent required by law.
    2. Guests

      Rally does not permit uninvited guests or "plus ones" at Rally Events. From time to time, we may allow a person who is not a Rally Member to attend a Rally Event as a guest, but only where that person has registered to attend the relevant Rally Event and has been approved by Rally (acting through its committee) in advance. Where a guest is permitted on this basis, you understand that:

      1. you may refer or flag a relevant contact in your network to Rally for consideration, but Rally provides no guarantee that the contact will be approved to attend a Rally Event, and that person may only attend if they have been pre-screened and approved by Rally in accordance with this section 4.2;
      2. you are responsible for your guest's conduct at the relevant Rally Event and for ensuring that your guest complies with these Terms, any Event Provider terms, rules, and any instructions given by Rally or the Event Provider; and
      3. any breach of these Terms by your guest will be treated as a breach by you.
    3. Code of Conduct

      As a Rally Member, you agree that you will:

      1. treat other Rally Members, guests, Rally personnel, Event Providers and venue staff with respect, courtesy and professionalism;
      2. not engage in any conduct which is unlawful, harassing, discriminatory, threatening, abusive, defamatory or otherwise inappropriate;
      3. comply with all applicable laws and regulations, and with the reasonable instructions of Rally, Event Providers and venue staff at any Rally Event;
      4. not use your membership, or any Rally Event, for the purposes of high-pressure sales, cold marketing, spam, or the promotion of goods or services in a manner that is not consistent with the spirit of the Rally Network;
      5. respect the confidentiality of information shared by other Rally Members in circumstances where it is reasonable to expect confidentiality, and not disclose or use such information without appropriate consent; and
      6. not bring the Rally Network, Rally or other Rally Members into disrepute.
    4. Photography and Recording

      Photography and video recording may take place at Rally Events from time to time. By attending a Rally Event, you acknowledge that you may be captured in such recordings and:

      1. you consent to Rally, and any photographer or videographer authorised by Rally, taking photographs and video recordings of you at Rally Events; and
      2. you consent to Rally using such recordings for the purposes set out in our Privacy Notice, subject to your rights under applicable data protection laws.

      Where you wish to withdraw your consent to appear in photography or video recordings, please contact us at hello@thisisrally.com.

    5. Contact Details and Networking

      You acknowledge and agree that, as part of the Rally Network:

      1. Rally will only share your name, business affiliation and contact details with other Rally Members, and will only otherwise facilitate the sharing of your personal data between you and other Rally Members, where you and the relevant member(s) have mutually agreed to such sharing in writing; and
      2. any such sharing and processing of personal data will be carried out in accordance with our Privacy Notice, available at [LINK TO PRIVACY NOTICE].

      You must not use contact details of other Rally Members obtained through the Rally Network for any purpose other than legitimate networking within the spirit of the Rally Network, and in particular, you must not use such details for unsolicited marketing or to send communications in breach of applicable data protection laws.

      Any breach of this section 4.5 shall be treated as a breach of these Terms, and Rally may take appropriate action, including, without limitation, suspension or termination of your membership in accordance with these Terms.

    6. Use of Member Name and Logo

      Subject to section 4.4, we will not use your name or your or  individual image identifying you as a specific Rally Member for marketing or promotional purposes without your prior consent. Where  you provide such consent (for example, by ticking a consent box or responding affirmatively to a request from us), you grant us a non-exclusive, royalty-free, revocable licence to use your name and image for those purposes, subject to any reasonable restrictions you specify.  

      You agree that we may use your business or firm name and logo to identify you (or your business) as a member of, or participant in, the Rally Network, including on our website and in our marketing materials, without your prior consent. In doing so, you grant us a non-exclusive, royalty-free, revocable licence to use your business name and logo. You can withdraw your consent at any time by contacting hello@thisisrally.com and we will cease using your business name and logo within a reasonable period of receiving your written request to do so.

  5. Sporting Events, Activities and Assumption of Risk
    1. Nature of activities

      You acknowledge that Rally Events may include sporting and physical activities which, by their nature, involve a risk of physical injury, illness, loss or damage, including risks that cannot be entirely eliminated even with reasonable precautions.

      Before participating in any sporting Rally Event or activity, you must:

      1. satisfy yourself that you are physically fit and medically able to participate safely;
      2. disclose any relevant medical conditions to Rally or the Event Provider where requested, which will be collected in accordance with our Privacy Notice;
      3. use appropriate equipment, clothing and safety gear as required and as communicated to you by Rally, the Event Provider or venue;
      4. follow all safety instructions and rules issued by the Event Provider, venue staff and Rally personnel; and
      5. sign any waiver, release or health declaration required by the Event Provider.

      To the extent permitted by law, and subject to section 9, you participate in Rally Events at your own risk.

    2. Insurance

      You are responsible for ensuring that you have appropriate personal insurance in place (as applicable) (including, where relevant, personal accident, health and travel insurance) to cover your participation in Rally Events. Rally does not provide personal insurance for Rally Members.

  6. Suspension and Termination
    1. Cancelling your Rally membership

      You may cancel your Rally Membership at any time, for any reason, by emailing us at hello@thisisrally.com and requesting cancellation. Your membership will end as soon as reasonably practicable after we have processed your request and we will notify you accordingly via email.

    2. Suspension by Rally

      We may suspend your Rally Membership, your access to any Rally Event, or any of the Services, at any time and at our discretion where we reasonably consider it appropriate, including where:

      1. we are investigating a suspected breach of these Terms by you;
      2. we have received a complaint about your conduct;
      3. suspension is necessary to protect the safety, wellbeing or interests of other Rally Members, Rally personnel, Event Providers or third parties;
      4. suspension is necessary to comply with any legal, regulatory or law enforcement requirement; or
      5. we reasonably consider it necessary to protect the reputation of the Rally Network.

      Where we are able to, we will notify you of any suspension and the reasons for it.

    3. Termination by Rally

      We may terminate your Rally membership at any time on written notice to you (including by email) where:

      1. you breach these Terms, including the code of conduct set out in  section 4;
      2. you cease to meet the eligibility criteria set out in section 2;
      3. you provide false, misleading or materially inaccurate information in connection with your application or Rally membership;
      4. your conduct, whether at a Rally Event or otherwise, is in our reasonable opinion incompatible with the values, safety or reputation of the Rally Network;
      5. you become insolvent, are made bankrupt, or are subject to any equivalent process;
      6. you are convicted of, or charged with, a serious criminal offence that in our reasonable opinion makes continued membership inappropriate; or
      7. we discontinue the Rally Network or any material part of it.
    4. Effect of termination

      On termination or cancellation of your Rally membership (whether by you or by us):

      1. your right to access the Rally Network, Rally Events and Services will cease immediately;
      2. any provisions of these Terms which by their nature are intended to survive termination will continue in full force and effect, including sections 1.3, 5, 7, 8, 9, 11 , 12 and 13; and
      3. we may retain and continue to process your personal data strictly in accordance with our Privacy Notice and applicable law.

      You will not be entitled to any refund (as applicable), compensation or other payment as a result of suspension or termination of your Rally membership by us, except to the extent required by law.

  7. Intellectual Property
    1. Rally IP

      All intellectual property rights in the Rally Network, the Services, the Rally name, logo, branding, content and materials (other than content generated by you or other Rally Members) are owned by us or our licensors. Nothing in these Terms transfers any such rights to you.

    2. Member Content

      To the extent that you provide any content, feedback, comments or materials to Rally or through the Rally Network (whether at a Rally Event, via email, via any online platform or otherwise) ("Member Content"), you grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce and share such Member Content for the purposes of operating and promoting the Rally Network, subject to our Privacy Notice.

  8. Data protection and privacy

    We process personal data about Rally Members in accordance with our Privacy Notice, available here. The Privacy Notice forms part of these Terms, and you should read it carefully to understand how Rally may use and process your personal data.

  9. Our responsibility for loss or damage you suffer  
    1. Nothing excluded that cannot be excluded

      We do not exclude or limit our liability to you in any way where it would be unlawful for us to do so. This includes liability for:

      1. death or personal injury caused by our negligence;
      2. fraud or fraudulent misrepresentation; or
      3. any other liability which cannot be limited or excluded under law.
    2. No Responsibility for Event Providers or sporting activities

      Subject to section 9.1, we are not liable for any loss, damage, injury or other harm suffered by you as a result of the acts or omissions of any Event Provider, venue, other Rally Member, guest or third party. Event Providers are independent of us, as explained in section 4.1.

      Subject to section 9.1, and as explained in section 5, sporting and physical activities carry inherent risks, and we are not responsible for any injury, loss or damage arising from your participation except to the extent it is caused directly by us or our negligence.

    3. No responsibility for member interactions

      Subject to section 9.1, we are not liable to you for any loss or damage arising out of or in connection with:

      1. any communications, dealings, transactions, introductions or relationships between you and any other Rally Member, guest or third party;
      2. any statement, representation, advice, information or content shared by any other Rally Member or third party at a Rally Event or through the Rally Network; or
      3. any investment, commercial or business decision taken by you in reliance on anything said or shared at a Rally Event or through the Rally Network. This reflects that we do not provide professional advice, as explained in section 1.3.
    4. When we are not responsible for loss or damage

      Subject to section 9.1, Rally is responsible for any losses that you suffer and that are caused by us, including by way of us breaching these Terms, unless the loss is:

      1. Caused by you or a third party: Any actions or inactions (including fraud, negligence, or an error attributable to you or a third party) of you, other third parties or guests.
      2. Unexpected: It was not obvious that it would happen and nothing you said to Rally before signing up to the Rally Network or a Rally Event meant Rally should have expected it (so, in the law, the loss was unforeseeable), or which we could not reasonably have predicted at the time when you began your membership with us or attendance at a Rally Event.
      3. Caused by a delaying event outside of Rally’s control: As long as we have taken the necessary steps to comply with our obligations as set out in the Terms, we are not responsible for delays outside or our control.
      4. Avoidable: Something you could have avoided by taking reasonable action, for example, choosing not to follow any instructions circulated by Rally or an Event Provider, which resulted in the loss that you suffered.
      5. Business loss: We only provide the Rally Network for private, personal and non-commercial use. If you use the Rally Network, the Services or any Rally Event for any commercial or business purpose, our liability for any loss you suffer in connection with your trade, business, craft or profession is limited. Specifically, we will not be liable to you under any circumstances for: (i) any loss of profit, sales, revenue; (ii) any loss of business, business interruption, business opportunity; (iii) loss of anticipated savings; (iv) loss of or damage to goodwill; (v) loss of agreements or contracts; and (vi) loss of use or corruption of software, data or information.  
  10. Changes to these Terms
    1. Rally’s right to change these Terms

      We may update or change these Terms from time to time. We will notify you of any material changes by email or by prominent notice on our website or member communications channels (as applicable), and any such changes will take effect on the date specified in the notice (which will be a reasonable period after the notice, save where a shorter period is required by law or for safety or regulatory reasons).

      If you do not agree to any material change to these Terms, you may cancel your Rally Membership in accordance with section 6.1. Your continued participation in the Rally Network after any change takes effect will constitute your acceptance of the change.

    2. Non-material changes

      We may make non-material changes to these Terms (for example, to correct typographical errors, update contact details, or reflect changes in our operational arrangements) without individual notice. You are responsible for reviewing these Terms from time to time to keep up to date with any such changes. The "Last modified" date at the top of these Terms will indicate when the Terms were last updated.

  11. General

    No failure or delay by us to exercise any right or remedy under these Terms will constitute a waiver of that right or remedy.

    You may not assign any of your rights or obligations under these Terms. We may assign or transfer our rights and obligations under these Terms to any member of our group or to a successor in business, provided that this does not adversely affect your rights under these Terms.

    No one other than you and Rally has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999 or otherwise.

    If any provision of the Terms is held by a court or competent authority to be invalid or unenforceable, the remaining provisions of the Terms will not be affected and will remain valid.

  12. Notices

    Any notice under these Terms must be given in writing. Notices to Rally must be sent to hello@thisisrally.com. Notices to you will be sent to the email address you have provided to us as part of your Rally membership.

  13. Governing Law and Jurisdiction

    The laws of England and Wales apply to these Terms and English courts will settle any disputes.
